Commercial Transactions

Miller Berger handles large commercial transactions, including asset purchase agreements (“buy-sells”), mergers and acquisitions, corporate buyouts, loan agreements, and sales and leasing contracts.  We assist in all areas of corporate formation and the drafting of corporate governance documents such as shareholder agreements, operating agreements, bylaws, and corporate policies.

Real Estate Transactions comprise a significant portion of Miller Berger’s Transaction practice.  In that regard, we represent owners, purchasers, developers, and investors in retail, office, manufacturing, industrial, and residential apartment sales and leasing transactions.  Miller Berger provides guidance on the purchase, sale, financing, leasing, development, and construction of commercial and residential real estate.  We also assist with environmental and zoning issues.
